Commercial contracts

Drafting, negotiation and review of the agreements a business signs repeatedly — supply, distribution, services, licensing.

01In practice

Most businesses negotiate hard on one large contract a year and sign two hundred small ones without reading them. The two hundred are where the risk accumulates — a limitation clause that does not limit, an indemnity that runs one way, a term that renews automatically.

So the first thing we usually do is not review a contract. It is to look at the ones a client signs repeatedly and fix the template.

02What that means

Template review
Your standard forms, read properly once, so the next fifty are safe.
Negotiated agreements
Drafted, or negotiated against the other side’s paper.
Review before signature
A defined turnaround, with the three things that matter flagged rather than a forty-page memo.

Describe your matter.

A paragraph is enough to tell us whether we are the right firm. If we are not, we will say so and suggest who is.
