01The firm
The work that does not make the news.
A contract read properly before it is signed is worth more than a favourable judgment three years later, and costs a fraction as much. Most of our year is spent on the first thing.
When a matter does become contentious we handle it — but we would rather have been the reason it did not.
02Practice areas
Commercial contracts
Drafting, negotiation and review of the agreements a business signs repeatedly — supply, distribution, services, licensing.
Employment
Handbooks, separations, non-competes, and advice before a decision rather than after one.
Transactions
Purchases and sales of businesses and assets, diligence, and the structuring that determines what a deal actually transfers.
Commercial disputes
Contract and partnership disputes, in negotiation, arbitration or court — in that order of preference.
Entity formation
Structuring, operating agreements, and governance that has to survive a disagreement between founders.
They told us the matter was not worth what it would cost to fight, and then helped us settle it. Nobody had said that to us before.

03How a matter starts
-
01
Conflicts check
Before we respond substantively. It is quick and it is not optional.
-
02
A partner calls
Usually the same day. You speak to the person who would do the work.
-
03
Engagement letter
Scope and fee basis in writing before anything starts.
-
04
The work
Fixed fee where it can be, hourly where it honestly cannot.
Describe your matter.
A paragraph is enough to tell us whether we are the right firm. If we are not, we will say so and suggest who is.
